Public Offer Agreement (Terms of Service)
1. General provisions
This Agreement is a public offer by the business entity named at the top of this page (the “Service Provider”, “we”) to enter into an agreement on the terms set out below with anyone who accepts it, in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”.
The Agreement sets out the terms of use of tirkomis.com and its services — the personal account, request forms, the AI consultant and private online auctions — and the terms of paid listing placement (section 10).
The Agreement is not an offer to sell any particular vehicle: the sale of a vehicle is made under a separate contract (section 4).
The Ukrainian text is the governing version. The English version is a translation provided for convenience; in case of any discrepancy, the Ukrainian text prevails.
2. Definitions
- “Website” — tirkomis.com with all its pages and language versions;
- “User” — a person who uses the Website;
- “Account” — the User's personal account on the Website;
- “Listing” — a vehicle page on the Website with a description, photos, a price and other details;
- “Seller” — the owner of the vehicle a Listing is about;
- “Request” — a message sent through a Website form, the AI consultant or our Telegram bot asking us to get in touch; a request to sell a vehicle (section 9) is not a Request in this sense;
- “Paid placement” — the Service Provider's service of publishing a Listing under a seller's request submitted through the Website (section 10).
3. How the agreement is concluded
This offer is accepted by:
- for using the Account — continuing to sign in or register on the Website after the notice about this Agreement on the sign-in screen;
- for submitting a request to sell a vehicle (section 9) — ticking the box for accepting the terms in the request form and sending the request, where the form has such a box;
- for Paid placement — paying for the placement on the page of the LiqPay payment service or transferring the money under an invoice issued in the Account or sent by a manager (section 10).
Browsing the Website, sending a Request (asking us to get in touch), subscribing in the Telegram bot and taking part in an auction do not require concluding this Agreement. They are governed by the rules described in sections 4–8 and the Privacy Policy.
4. Listings and buying a vehicle
Listings are for information only and are not an offer to enter into a sale contract. The availability and the final price of a vehicle are confirmed by the Service Provider's manager. The condition and completeness of a particular unit are confirmed by inspection.
Listing prices are given in US dollars or euros; amounts in other currencies next to the price are an approximate conversion at the rate the Website uses. The notes “Price + VAT”, “Tax paid by buyer” and “Firm price, no haggling”, where shown in a Listing, are part of the price terms.
The buyer concludes the sale contract with the vehicle's owner — the Seller, as a rule directly; if the vehicle belongs to the Service Provider, the Service Provider is the seller. You can ask a manager who the seller of a particular unit is before concluding the contract.
The seller is responsible for the vehicle's technical condition, completeness and documents. Most vehicles have been in use, so we recommend inspecting a vehicle before buying it — you can book an inspection from the Listing.
The price, deposit, payment terms, inspection, delivery and re-registration of a particular vehicle are set by the sale contract and other deal documents, not by this Agreement. If a Listing shows the vehicle owner's phone number, any arrangements with the owner are made directly between you.
5. Requests, communication and services
A Request is a request for us to get in touch. It is not an order and does not bind either you or the Service Provider. A manager replies by phone or in a messenger. This does not apply to a request to sell a vehicle — see section 9.
Text messages from the Website are sent only with an Account sign-in code. You receive new Listings in Telegram only after subscribing in our bot, and you can turn this off with the /stop command.
A credit or leasing request is a request for a preliminary calculation. The Website calculator gives an estimate; the decision on financing and the final terms are made by the partner bank or leasing company. When and to whom such a request may be passed on is described in the Privacy Policy.
We provide vehicle import, sourcing, inspection, valuation, transport and buyout, trade-in and export by separate arrangement: a manager tells you the cost and terms before the work begins.
The referral reward (“Refer a friend”) is granted after the deal of the person you recommended is completed; its amount is agreed by a manager.
Reviews sent through the Website are published after moderation.
6. AI consultant
The consultant's answers on the Website are generated automatically by artificial intelligence. They are for reference, may be inaccurate and are not an offer or a guarantee: the price, availability and terms are confirmed by a manager.
How conversations with the consultant are stored is described in the Privacy Policy.
7. Account
You can sign in to the Account in the ways available on the sign-in page. The User provides accurate details and does not share access to the Account with others.
After signing in you can download photos from Listings. Listing photos and descriptions may be used only to get acquainted with the vehicle; any other use, including publishing them elsewhere, requires the right holder's consent.
You can delete the Account and the data associated with it by sending a request from your profile — the procedure is described in the Privacy Policy.
8. Private online auctions
You can take part in an auction only via a link from a manager or — if the auction allows it — after self-registration via the shared link.
The bidding rules — the starting price, the minimum increment, the end time and the extension of bidding after a bid in the final minutes — are shown on the auction page; the terms of a particular lot (including delivery and payment) are in the “Terms” block, if provided.
A bid is an offer to buy the vehicle at that price. A bid cannot be withdrawn on the auction page; if you made a mistake, write to your manager straight away.
The highest bid at the end of bidding wins. An auction does not conclude a sale contract: the deal with the winner is arranged separately by a manager (section 4).
The Service Provider may void a bid, extend bidding or cancel an auction; voiding a bid after bidding ends may change the winner.
9. For sellers
You can offer a vehicle for sale with a request on the “Sell your vehicle” page or in the Account. If the request form has a box for accepting the terms, the request can be sent only with that box ticked: by ticking it you accept this Agreement (section 3) and the terms of the Commission Agreement. A manager reviews the request and may reject it, in particular if the required photos or details are incomplete or inaccurate or the vehicle does not fit the chosen sales direction.
The terms of finding a buyer and the Service Provider's fee are set by the Commission Agreement. If you accepted its terms with the box in the request form, it is deemed concluded when we accept the request and take the vehicle on for sale; if the request is rejected, it is not concluded. If a request is submitted without such a box, the terms are agreed with a manager. Submitting a request does not oblige you to sell the vehicle: you can withdraw the request or withdraw from the agreement at any time, as described in the Commission Agreement.
A manager publishes the Listing after review. Changes to the Listing and price, as well as withdrawal from sale, sent from the Account are requests: they take effect once a manager applies them.
When preparing a Listing we may process photos: remove service data (EXIF), add a watermark and cover the registration plate.
10. Paid listing placement
The Service Provider may charge a fee for placing a Listing under a request submitted through the Website (the “Sell your vehicle” page or the Account). If a fee is set, its amount and currency are shown in the request form before it is sent. The amount shown includes all taxes: no tax is added on top of it. For a submitted request the fee is fixed at the moment of submission and does not change afterwards.
The fee is one-time: it covers the first publication of the Listing, and extensions of its display period are free. A new request for the same vehicle is a new placement. The placement fee is a separate service: it does not depend on a sale and is not a fee for selling the vehicle.
You can pay for the placement after a manager has reviewed the request and a payment button has appeared in the Account. The available methods are shown in the Account:
- payment by card (as well as Apple Pay, Google Pay, Privat24 or QR) on the secure page of the LiqPay payment service — the Service Provider does not receive card details;
- a bank transfer using the details and QR code of an invoice issued in the Account — in hryvnias only.
Payment in the Account is available only for a request that is in that Account. If you have no Account or the request is not in it (for example, it was submitted without signing in), contact a manager about payment and activation of the placement.
Once the payment service confirms a card payment, the Listing is published automatically, usually within a few minutes; after a bank transfer — once a manager confirms the money has arrived. If the Listing needs an additional check, a manager publishes it. Payment confirmation is shown in the Account on the vehicle's page.
By paying for the placement, you agree that the service starts immediately after payment. Therefore, once the Listing is published, the money paid is not refunded — including if the vehicle is later sold or withdrawn from sale or the Listing's display period expires — except in cases expressly provided for by law.
We refund the money if, at the time the payment is confirmed:
- the placement of this Listing has already been paid for by another payment;
- a manager has already activated the placement without payment — except for a bank transfer under an invoice issued to you before that activation (see below);
- the vehicle card has been deleted or the vehicle is not available for sale (in particular, it has been sold or its card has been archived). If the vehicle becomes available again, we may publish the Listing and credit the payment instead of refunding it.
The exception to these rules is a bank transfer under an invoice issued to you before a manager activated the placement without payment: it is counted as payment for that placement and is not refunded, because the service has been provided. If, however, the Listing has not been on the Website and cannot be published, we refund such a transfer.
If you ordered the placement as a consumer, you may cancel Paid placement before the Listing is published, in accordance with consumer protection law: tell a manager using the contacts at the top of this page, and we will refund the money paid.
Refunds are made manually to the card or account the money was paid from, within the period set by law; contact a manager about refunds.
11. Liability
The Service Provider is liable for providing its own services in accordance with the law of Ukraine.
The Service Provider is not a party to sale contracts between a buyer and a Seller, unless it is the seller itself, and is not liable for their performance, for the technical condition and documents of a vehicle or for the information provided by a Seller.
The User is responsible for the accuracy of the details they provide on the Website.
The Website may be temporarily unavailable due to maintenance or failures.
The parties are released from liability for failure to perform obligations due to force majeure confirmed by proper evidence.
12. Restrictions
The Service Provider does not conclude contracts or perform obligations where this is prohibited by the law of Ukraine, in particular the Law of Ukraine “On Sanctions” and acts concerning the aggressor state.
13. Personal data
Personal data is processed in accordance with the Privacy Policy.
14. Complaints and disputes
Complaints are accepted at the contacts given at the top of this page. Disputes are settled by negotiation and, failing agreement, in court in accordance with the law of Ukraine, which governs this Agreement.
15. Changes
We may amend this Agreement by publishing a new version on this page with the date of the update. The new version applies to actions taken after its publication; a placement paid for earlier is provided on the terms of the version in force at the time of payment.
